<\/p>

Most of us have heard about the introduction of a new version of the Classification of Activities in the National Economy (CAEN), applicable as of January 1, 2025. This update was designed to meet the priority objective of harmonizing national classifications with the Statistical Classification of Economic Activities in the European Community (NACE), as specified on the official website of the National Institute of Statistics. Opinions regarding this shift remain divided, with stakeholders seeing both benefits and drawbacks. <\/p>

Procedurally, the National Trade Register Office (ONRC) has streamlined the process by introducing a updated standard registration application form. The very first section now features a new option to be checked: “Update of the object of activity according to CAEN Rev. 3”. Furthermore, under Section V, item 8 of the same form, companies must fill in their corporate details and primary line of business (for legal entities), or under Section VII (for natural persons\/sole traders). Notably, despite Annex No. 2a requiring only the specification of the primary business activity, the update must also cover secondary business activities. As for supporting documentation submitted alongside the application, only the proof of authorization\/power of attorney for the designated representative handling the legal filings is required, where applicable. <\/p>

At first glance, such a registration appears to fully resolve the update requirement; however, this statement is not entirely accurate, at least not regarding certain code classifications. For instance, CAEN Code 4791 \u2013 Retail sale via mail order houses or via Internet (under CAEN Rev. 2) has been one of the most widely used codes in practice due to the boom in e-commerce. Under the previous classification, regardless of what you chose to sell online, authorizing this single class covered your operations. Under the new classification, however, the specific types of products intended for sale must be explicitly determined <\/p>

Consequently, what happens if we apply the update procedure to CAEN Code 4791? We risk finding ourselves registered with a multitude of secondary business activities that we may not actually conduct in practice, necessitating a subsequent filing to re-authorize only those specific lines of business matching our actual commercial operations. <\/p>

Conversely, in sectors such as furniture manufacturing, the transition is significantly simpler. Regardless of whether a business previously operated under class 3101, 3102, 3103, or 3109, all these classes have now been consolidated into a single class: 3100, irrespective of whether you manufacture office and shop furniture, kitchen furniture, or mattresses and bed bases. <\/p>

We view this revision as a welcome development given the clarity it brings. For instance, during the COVID-19 pandemic, when businesses pivoted to producing disposable protective masks, there was considerable ambiguity as to the correct classification; now, group 3250 explicitly covers this activity. For entrepreneurs opening yoga, Pilates, or Tai Chi studios, the updated breakdown makes classification under 9313 straightforward. The transportation sector has also been modernized: with the rise of ride-hailing applications, the former taxi-centric designation has evolved into “passenger land transport by chauffeur-driven vehicles on demand”. These are just a few examples of practical issues resolved by CAEN Rev. 3. <\/p>

On a critical note, the modernization of activities has failed to keep pace with the content creator economy, offering little optimization for digital creators. Currently, code 9003 no longer appears practical for this purpose, leaving code 7311 (Advertising agencies) as the primary option for advertising campaign management. <\/p>

Order No. 377\/2024 of the National Institute of Statistics mandates the update of business activities, though it specifies no direct sanctions for non-compliance. In practice, non-compliance is likely to result in the delay or rejection of filings by the Trade Register when submitted documents fail to match the new requirements. Additionally, warning notices or administrative fines could be levied by the National Agency for Fiscal Administration (ANAF) or other authorities responsible for issuing operating licenses and permits. <\/p>
